Mr. Williams has been practicing securities law for over 40 years, starting as an SEC Enforcement lawyer conducting investigations and participating in securing relief against individuals and corporations for violations of federal securities laws.  He currently represents numerous start up, early stage and small/medium enterprises in raising money and going public through direct filings with the SEC as well as reverse mergers.  He also represents these companies in compliance with on-going SEC reporting requirements after they go public.  In the cannabis space, he was one of the first attorneys to take a cannabis-related company public through a direct S-1 filing with the SEC rather than through the reverse merger process which was the popular way for cannabis companies to go public at the time.

 

He is now focusing his practice upon the exciting new capital formation opportunities available to cannabis and non-cannabis companies with the SEC’s adoption of new Regulation A+.  For the first time ever, these companies can use social media and other types of publicity to promote their offerings of fully free-trading stock to all kinds of investors, accredited and non-accredited, in all 50 states, as Regulation A+ not only allows general advertising of offerings but also more importantly preempts the state Blue Sky review process which had effectively foreclosed capital formation opportunities for these companies.  This means a cannabis company can use affinity group social media marketing to raise money from many small as well as larger investors in the cannabis space all over the U.S. and abroad.  Companies now can even legally sell stock along with their products directly from their websites!
